Skąd pochodzi umowa trustu?
Umowa trustu wywodzi się z systemu prawnego common law więc jest instytucją znaną przede wszystkim w krajach anglosaskich, rzadziej spotykaną w systemach prawnych państw kontynentalnych, choć miewają one inne, podobne instytucje m. in. powiernictwa czy fundacji. Konstrukcja trustu nie występuje jednak na gruncie prawa polskiego. Nie oznacza to jednak, iż polski obywatel nie może z niej skorzystać. Istnieje bowiem możliwość założenia trustu za granicą lub uzyskania statusu beneficjenta takiego trustu.

Jak działa umowa trustu?
Trust jest stosunkiem prawnym, na mocy którego założyciel trustu (osoba fizyczna lub prawna, a także jednostka organizacyjna nieposiadająca osobowości prawnej, ang. settlor) przekazuje swój majątek pod zarząd powiernika (trustee). Powiernik natomiast zarządza masą majątkową trustu we własnym imieniu, ale na rzecz określonych osób, zwykle oznaczonych w umowie trustu (deed of trust), określanych jako beneficjenci (beneficiary). Powiernik zobowiązuje się zarządzać przekazanym majątkiem w sposób umożliwiający osiągnięcie korzyści dla beneficjenta, kierując się przy tym wytycznymi założyciela wskazanymi w umowie trustu.
Taka konstrukcja prawna trustu powoduje, że trust nie jest ani osobą prawną ani jednostką organizacyjną nieposiadającą osobowości prawnej, a najczęściej przyjmuje postać umowy zawartej między założycielem i powiernikiem.

Przekazanie przez założyciela majątku na rzecz powiernika powoduje, że majątek ten nie wchodzi już w skład majątku założyciela, a z chwilą przekazania powiernik przejmuje prawo własności oraz faktyczną kontrolę nad tym majątkiem. Aktywa te nie wchodzą jednak do majątku prywatnego powiernika, lecz stają się częścią majątku powierniczego. Inaczej mówiąc, aktywa trustu nie stanowią prywatnego majątku żadnej z osób, które znajdują się w strukturze trustu. Własność przechodzi na powiernika, natomiast korzyści przypadają beneficjentowi. Powstaje dualizm własności prawnej i ekonomicznej. W praktyce powoduje to, że wierzyciele założyciela trustu nie mogą zgłaszać roszczeń do majątku znajdującego się w truście.
Założyciele mogą dodatkowo sporządzić listę życzeń (letter of wishes), która stanowi niezobowiązujący dokument założyciela. W ten sposób założyciel może przekazać powiernikom dodatkowe wytyczne, w których określa, w jaki sposób chciałby, aby jego powiernicy zarządzali przekazanym majątkiem za jego życia, a także po jego śmierci.
Założyciele, którzy chcą mieć możliwość wpływania na zarządzanie majątkiem, mogą również wyznaczyć protektora lub zastrzec ograniczone prawa dla siebie. Protektor może być powołany do nadzoru nad powiernikami. W przypadku powołania protektora powiernicy nie mogą wykonywać pewnych uprawnień zawartych w dokumencie powierniczym bez pisemnej zgody protektora. Co więcej, możliwe jest także by protektor posiadał uprawnienie do usunięcia i mianowania nowych powierników.
Utworzenie trustu ma przede wszystkim prowadzić do zabezpieczenia majątku przed jego utratą w wyniku niewłaściwego rozporządzania lub na wypadek śmierci. Jest więc to instytucja umożliwiająca planowanie finansowe, a także spadkowe. Konstrukcja ta ułatwia także przedsiębiorcom zarządzanie podmiotami zlokalizowanymi poza granicami kraju np. wówczas gdy występują oni jako wspólnicy spółek zagranicznych. W takim przypadku kontrola nad majątkiem spółki zagranicznej przenoszona jest na trust. W tym celu założyciele najczęściej wybierają na powiernika podmiot, który ma siedzibę oraz prowadzi działalność w państwie na terytorium, którego trust jest tworzony. Taki powiernik, wykorzystując swoją wiedzę, doświadczenie oraz znajomość prawa wykonuje za beneficjenta jego prawa i obowiązki, dając jednocześnie większą gwarancję na uzyskanie oczekiwanych korzyści. Trust jest elastycznym instrumentem, który pozwala dostosować się do oczekiwań założyciela oraz zmieniających się okoliczności. Pozwala przede wszystkim na zachowanie poufności oraz anonimowości. We wszelkich oficjalnych rejestrach jako właściciel widnieje bowiem powiernik.
Utworzenie trustu możliwe jest nie tylko w Wielkiej Brytanii, ale również w wielu innych państwach m.in. w Stanach Zjednoczonych Ameryki, Kanadzie, Nowej Zelandii, Szkocji, na Cyprze czy Malcie.
